Dividend received: is the tax 15% or Box 2?

Detailed explanation, checklist and sources

The usual 15% Dutch dividend withholding tax is an advance, not automatically your final tax. A substantial interest normally puts the benefit in Box 2; first establish your holding and residence.

1. Check your holding

This explanation assumes you reside in the Netherlands and receive the dividend personally. A substantial interest includes at least 5% direct or indirect ownership, possibly together with your tax partner. A 5% holding in a share class also counts. Direct-line family and special rights can bring holdings below 5% into Box 2; check such cases separately.

2. Separate dividends and salary

Box 2 covers benefits such as dividends and gains from selling substantial-interest shares. Salary from your BV belongs to Box 1. Ordinary investments without a substantial interest may belong to Box 3. The BV’s corporate tax is different from your personal tax.

3. Use the 2026 rates

In 2026, taxable Box 2 income is charged at 24.5% on the first €68,843 and 31% on the excess. This concerns the taxable benefit, not the full value of your shares. Use the relevant rates for other years. Losses and deductible costs need their own assessment.

4. Credit withholding

Use gross dividends and record actual Dutch withholding separately. Example: €20,000 gross dividends, €3,000 withheld and no other Box 2 items produce €4,900 Box 2 tax before other personal effects; crediting withholding leaves €1,900. Do not add 15% on top of the full Box 2 rate. The return calculates your complete situation.

5. Check exceptions

A Dutch resident can credit Dutch dividend tax against income tax even if the investment is outside Box 2. Foreign withholding follows separate treaty/refund rules; do not automatically enter it as Dutch withholding. Emigration, special share rights, losses, minor children or partner allocation warrant targeted review; a lower bracket alone does not determine the best choice.

6. Prepare your return

Keep the dividend statement, gross amount, withholding, year, holding percentage and any purchase/sale documents. Check prefilled entries and the correct return section. Follow your filing invitation or granted extension; withholding does not replace a filing duty. This page submits nothing and does not advise a distribution; the paying BV has separate filing/payment obligations.

Are dividends always in Box 2?

No. Box 2 requires a substantial interest or another applicable special rule. Otherwise the investment may fall in Box 3; Dutch withholding can still be creditable for a resident.
