How do I establish a Dutch association?
What would you like help with?
Detailed explanation, checklist and sources
Start with at least two people, a shared purpose and membership/board rules. Choose full or limited legal capacity deliberately. This guide does not cover the separate apartment owners' association (VvE).

1. Purpose and members
An association has members who exercise authority through the general meeting; the board handles daily affairs within its powers. Decide who can join, members' payments/duties and voting. Without members, a foundation may suit better.
2. Full or limited capacity
Full capacity requires a notarial formation deed. An informal association can arise without a notary, even orally, but cannot acquire registered property or be an heir. Its directors face greater personal liability risk. Voluntary KVK registration can reduce risk but does not grant full capacity.

3. Articles and budget
Set purpose, name, membership duties/fees, meeting notices, appointment/removal of directors and destination of any surplus on dissolution. Define votes, signing powers and bank access. Budget subscriptions, donations and grants. Internal rules cannot conflict with articles or simply change statutory board powers.
4. Formation and registration
For full capacity, discuss deed and costs with the notary and who handles Trade Register/UBO registration. The deed is Dutch or Frisian; arrange understanding and language help. An informal association without a business generally need not register; if running a business check its separate registration duty. Limited capacity with no business is exempt from UBO registration; formal associations are not.
5. Members and board
Members appoint the board and review management and annual accounts. Hold at least an annual meeting, normally within six months of year-end; check a valid extension and articles. Prepare notices, agenda, voting and minutes. Address WBTR conflicts of interest, absence replacement and multiple votes; on a multi-person board no director may outvote all others combined.
6. Accounts, risks and changes
Keep accounts and annual balance/income-expenditure statements; arrange required scrutiny, such as a members' audit committee where no suitable supervisory body/auditor checks them. Check taxes and insurance: notarial formation does not remove liability for improper management. ANBI status or grants are not automatic. Keep registers and board terms current. Formal association article amendments require a notarial deed; dissolution is a separate procedure.
Does KVK registration make my informal association formal?
No. It may reduce liability risks but does not replace the notarial deed needed for full capacity. Have property, inheritance and contract risks assessed first.

For each event, note the date, what happened and where the evidence is kept. Example: 3 October — letter received — correspondence folder.
Describe the solution you would like, such as an explanation of a deduction and repayment of the outstanding amount.
For example: which document is missing, who can provide it and what should I do first?
Record the date and its source. If unknown, note this and check promptly. This tool does not calculate or monitor deadlines.
